Sangoma signs definitive deal to be acquired by BRC Group

On 28 September 2026, Canada-based unified-communications firm Sangoma Technologies (TSX: STC; NASDAQ: SANG) announced a definitive agreement to be acquired by an affiliate of BRC Group Holdings (NASDAQ: RILY). The deal values Sangoma at roughly US$204 million enterprise value. Closing is targeted no later than early 2027, subject to shareholder, court, and regulatory approvals.

After closing, Sangoma is expected to sit inside BRC Telecom and keep operating under its brands. The release does not announce product shutdowns or an end to Asterisk / FreePBX sponsorship—but buyers should still pull support renewals and spare-part plans forward.

Does the Sangoma–BRC agreement affect FreePBX and Asterisk?

Not automatically. The text does not declare EOL for product lines or open-source projects. Sangoma is still described as the primary developer-sponsor of Asterisk and FreePBX, with 100,000+ business customers and over 2.7 million UC seats. Until closing and a vendor roadmap land, production FreePBX Distro, Asterisk PBXs, or Sangoma UCaaS / Switchvox sites do not face a forced “migrate now.” For single-vendor lock-in projects, add an alternate option to discovery instead of ripping out working plant.

When does closing become certain?

The stated window is early 2027. Certainty still needs Sangoma shareholder approval (≥ two-thirds plus minority-protection majority), court clearance, and regulators.
